PORTAL TERMS AND CONDITIONS
Welcome to the Dorado Trade Group, LLC’s product portal (the “Portal”). You have been given access to the Portal because you are client of Dorado Trade Group, LLC, a Texas limited liability company (“Dorado”), whose has executed one or more written contracts with Dorado that sets the terms and conditions for trading with Dorado (the “Trading Agreements”). All trades with Dorado are governed by the Trading Agreements. In the event any part of these Portal Terms and Conditions (the “Portal Terms”) is inconsistent with the Trading Agreements, the terms of the Trading Agreements shall supersede the Portal Terms.
The Portal enables you to view products that may be available and submit an order for products (the “Order”). An Order is a formal offer by you to purchase product from Dorado. Dorado review your Order and contact you directly to accept or reject the Order. Dorado has the right to not accept any Order for any reason. Dorado will work with you directly by electronic or personal communications to complete an accepted Order pursuant to the terms of the Trading Agreements.
The Portal is not the only method for you to initiate a trade with Dorado. You can initiate trades through the other methods available to you pursuant to the Trading Agreements. For these reasons, the unavailability of the Portal for any reason cannot constitute an impairment of your ability to make trades with Dorado and form the basis for any claims against Dorado. The Portal is not intended to be fully operational or available for any minimum time periods or dates, and Dorado is not liable for any claims arising from the availability or operational condition of the Portal. No business transaction related to an Order shall exist until Dorado accepts an Order in writing. Therefore, you agree that you have no claims against Dorado until Dorado accepts an Order in writing.
Technical issues that result in erroneous prices displayed on the Portal and inaccurate calculations of purchase prices automatically invalidate an Order that is effected by such technical issues. You expressly authorize Dorado Trade Group to retain your personal information, including, but not limited to, your login hisotry and your IP address used to access the Portal.
You are solely responsible for keeping the login credentials to the Portal confidential. Dorado is not liable for any damages or losses you incur in connection with any third party using your login credentials to access the Portal and submit Orders.
Your access to the Portal may be terminated by Dorado for any reason without notice. Some common reasons that would result in termination of your access to the Portal include without limitation, termination of any Trading Agreement, your breach of any Trading Agreement or the Portal Terms, misuse of the Portal, unauthorized access of the Portal through your login credentials, and unusual activity under your login credentials to the Portal.
You will indemnify, defend and hold Dorado harmless from and against all liabilities and expenses incurred by Dorado arising from your use or misuse of the Portal, or through the use of your login credentials to the portal by any party other than you. Dorado shall not be liable for any consequential, incidental, indirect, exemplary, special or punitive damages.
These Portal Terms are governed by Texas law.
Any use of the Portal and/or submission of an Order constitutes your acceptance of these Portal Terms. Dorado has the right to change these Portal Terms at any time and for any reason without notice to you.
